本ライセンス条項は、株式会社シャロン（当社）が開発するアドオンソリューションを購入および使用する際に適用されます。

本アドオンソリューションを使用することにより、お客様は本ライセンス条項に同意されたものとします。本ライセンス条項に同意されない場合、本アドオンソリューションを使用することはできません。

本ライセンス条項を遵守する場合、お客様は下記の権利を有します。

1. インストールおよび使用に関する権利

  • お客様は1テナントにインストールして利用することができます。

2. 本アプリの権利帰属

  • 本アプリ内の表示、構成するプログラム等に関わる著作権、商標権等すべての知的財産権は、当社に帰属します。
  • 本アプリは、利用者団体が使用する目的でのみ利用することができるものとし、すべてのコンテンツの無断転載を禁止いたします。
  • 前項の規定に違反して、著作権等の知的財産権に関する問題が発生した場合、利用者は自己の費用と責任において、その問題を解決するとともに、当社に対してなんらかの迷惑・損害等を与えてはなりません。

3. アドオンソリューション使用料

利用者は、本アドオンソリューションの使用料を直接もしくはマイクロソフト社経由で当社に支払う必要があります。

4 禁止事項

利用者は以下の行為を行ってはいけません。

  1. 本ソリューションを複製、翻案する行為
  2. 本ソリューションを構成するプログラム（オブジェクトコード、ソースコード等全て含む）を複製し、または第三者に開示する行為
  3. 第三者もしくは当社に損害、不利益を与える行為、またその恐れのある行為
  4. 公序良俗に反する行為、法令に違反する行為、またその恐れのある行為
  5. 本規約に反する行為
  6. その他、当社が不適と判断する行為

利用者が前項に該当する行為により、第三者もしくは当社に損害が生じた場合、当社は利用者の利用資格の停止または抹消するとともに当該損害の賠償を利用者に請求することがあります。

6. 免責

当社は、以下の事項に関し、その一切の責任を負いません。

  1. 利用者が本ソリューションを利用することにより、他の利用者または第三者に対して損害を与えた場合
  2. 利用者が本ソリューションを利用できなかった場合、または本ソリューションの利用に関し、当社の責のない事由により損害を被った場合

This license agreement applies when purchasing and using the add-on solution developed by Charon Inc.

By using this add-on solution, customers are deemed to have agreed to these license terms. If you do not agree to these license terms, you may not use this add-on solution.

If you comply with these license terms, you have the following rights:

1. Rights to Install and Use

  • Customers may install and use this on one tenant.

2. Rights of the Application

  • All intellectual property rights related to the display and programming of this application, including copyrights and trademarks, belong to our company.
  • This application may only be used for the purpose of use by user organizations, and all unauthorized reproduction of content is prohibited.
  • If a violation of the provisions of the preceding paragraph results in issues related to intellectual property rights, users must resolve such issues at their own expense and responsibility and must not cause any trouble or damage to our company.

3. Add-on Solution Usage Fee

Users must pay the usage fee for this add-on solution directly or through Microsoft to our company.

4. Prohibitions

Users must not engage in the following actions:

  1. Replicating or adapting this solution.
  2. Copying the programs that make up this solution (including all object code, source code, etc.) or disclosing them to third parties.
  3. Engaging in actions that cause or are likely to cause damage or disadvantage to third parties or our company.
  4. Actions contrary to public order and morals, violating laws, or likely to do so.
  5. Actions contrary to these terms.
  6. Other actions deemed inappropriate by our company.

If a user engages in actions corresponding to the previous paragraph and causes damage to a third party or our company, our company may suspend or delete the user’s eligibility to use and may claim compensation for the damages.

6. Disclaimer

Our company is not liable for any of the following matters:

  1. If a user causes damage to other users or third parties by using this solution.
  2. If a user was unable to use this solution or suffered damage due to reasons not attributable to our company’s fault.
